The details of using SideThread, from your free account to future paid subscriptions.

1. Who provides SideThread

SideThread is operated by CGEMellen Direct Holdings in Michigan, USA (“we,” “us” and “our”). These terms cover sidethread.app and the SideThread interfaces we provide. Contact us at [email protected].

2. Eligibility and accounts

You must be at least 18 and legally able to enter into this agreement where you live. Accounts are currently subject to manual approval. Requesting access does not guarantee approval or an approval date.

Provide accurate account information, keep the email address you give us up to date and keep your sign-in details secure. Tell us promptly if you believe someone has accessed your account without permission. We use your email for essential account, security, billing and service notices.

3. The service

SideThread helps you record and review time. Current free access includes the website and available experimental interfaces for phones, watches and glasses. Compatible hardware and supported software versions are required. Hardware is not included.

Experimental features may change and may experience interruptions or errors. We will describe supported devices and any paid features before purchase. Planned features and integrations are not promises of delivery on a particular date. We do not limit any service standards or remedies that applicable law requires.

4. Paid subscriptions

If you choose a paid plan, checkout will show its features, price, currency, billing interval, applicable taxes and renewal terms before you authorize payment. Monthly billing is planned; other intervals apply only if expressly offered and selected.

A subscription renews automatically at the interval you choose until canceled. You authorize the disclosed recurring charges when you subscribe. Payment processing is provided through Authorize.net. Creating a free account does not authorize a charge.

5. Price and feature changes

We will give at least 30 days’ notice by email and in the app before increasing your subscription price or moving a free feature into a paid plan. A price increase applies only at a future renewal after the notice period, never retroactively to a term already purchased. You may cancel before it takes effect.

A change to free features will not start a paid subscription without your explicit agreement. You may continue to view and export previously recorded time for free while your account remains open.

6. Canceling a subscription

You can cancel renewal in your account settings. Cancellation stops future renewal charges, and paid access continues until the end of the term you already purchased. Your account then returns to the free tier. If the cancellation control is unavailable, email us for help. Cancellation alone does not delete your account or request a refund; the Refund Policy explains refunds.

7. Your records and permitted use

You retain ownership of the time records and other content you enter. You give us only the permission needed to store, process and display that content to provide and secure SideThread and respond to your support requests. We do not sell customer data, show ads or use customer data to train AI models.

Use SideThread lawfully. Do not attempt to access another person’s account, bypass access controls, introduce malicious code or interfere with the service. We retain rights in the SideThread software and branding; these terms give you permission to use the service, not ownership of it.

8. Refunds

Our Refund Policy forms part of these terms. It provides a full refund of your most recent subscription charge when you request it within 14 days, including renewal charges. Every request is reviewed manually. We review requests and issue approved refunds within 14 calendar days of receiving the request, subject to any shorter deadline required by law. Your bank may take additional time to post the credit.

9. Deleting your account

We will ask you to confirm permanent deletion. Once you confirm, we immediately delete your account, time records and other operational account data. This is irreversible. Export anything you wish to keep before confirming.

Deleting a paid account also cancels future renewal charges and automatically opens a refund request for manual review. Deletion happens before that review and does not depend on its outcome. Opening a request does not itself guarantee a refund.

We send a printable PDF of your complete billing history to your account email and retain a copy in a separate billing archive for seven years after account closure. The archive contains only the billing information needed for accounting, payment administration and any refund review. It does not contain your time records. We delete the retained information at the end of that period unless a specific legal obligation requires longer retention. The Privacy Policy explains this exception to deletion.

10. Suspension or ending the service

We may restrict access when reasonably necessary to address a serious breach of these terms, fraud, a security threat or a legal requirement. Where practicable, we will explain the reason and give you an opportunity to resolve the issue. Urgent security or legal situations may require immediate action. Contact us if you believe a restriction is mistaken.

If we discontinue a paid service before the end of a purchased term, we will explain the available remedies and provide any refund required by law. We will give reasonable advance notice of a planned shutdown and an opportunity to export your records where practicable.

11. Changes and your legal rights

We will notify you of material changes to these terms before they take effect. Price and free-to-paid changes follow the 30-day notice rule above. We will obtain renewed agreement where the law requires it.

Michigan law governs these terms to the extent permitted by applicable law. This does not remove mandatory consumer protections or your right to bring a claim in a court available to you under applicable law. Nothing in these terms excludes liability or remedies that cannot lawfully be excluded. Email us if there is a problem so we can try to resolve it.
